Developer agreement
Version 2026-10-10, effective October 10, 2026
What changed on October 10, 2026: IronVault's 10% platform fee (section 3), payment only through IronVault with Stripe (section 4), all communication through the IronVault site (section 5), no going around IronVault for 12 months (section 6), what happens on a breach (section 11) and your taxes (section 12). Every developer accepts this version before claiming another job.
1. What this covers
This agreement applies whenever you claim a job from the IronVault developer board ("the board") and carry out commissioned work for IRONVAULT HOSTING LLC, a Minnesota limited liability company at 14702 Excelsior Blvd, Suite 1B, Minnetonka, MN 55345, USA ("IronVault"). The work is done for IronVault; IronVault's customer is IronVault's customer, not yours.
2. Claiming and doing the work
Claiming a job means you commit to doing it to the brief, on the timeline agreed in the job's ticket. If you can't, hand it back on the board as early as possible.
3. Job value and IronVault's 10% platform fee
Every job IronVault offers you shows a job value. IronVault keeps a platform fee of 10% of the job value on every job it offers you, and you receive the remaining 90%. The board shows the split before you claim, for example: "Job value $500.00 · IronVault fee 10% ($50.00) · You receive $450.00". Your share is rounded down to the cent. The fee is deducted before payment; you are never invoiced for it.
4. Payment only through IronVault, with Stripe
IronVault pays you only through the IronVault site, by Stripe Connect: you set up payouts from the board ("Set up payouts"), Stripe verifies your identity and bank details, and IronVault transfers your share to your Stripe account. You need payouts set up before you can claim a paid job. IronVault pays once it has accepted the work and once the customer has paid IronVault for it; IronVault may pay in parts (for example half when an early stage is approved and half on delivery), but never more than your share in total. Payment to you is never made, asked for or accepted any other way — no cash, bank transfers, PayPal, Cash App, Venmo, crypto or gifts, from IronVault's customers or anyone else on their behalf.
If a customer's payment for a job is refunded or reversed by a chargeback after you were paid, IronVault may ask you to return, or take back through Stripe, the part of your share that relates to it, where the law allows and after telling you why.
5. All communication through the IronVault site
All communication about a job — questions, updates, files, delivery, payment — happens through the IronVault site, in the job's ticket. Don't share or ask for email addresses, phone numbers, Discord, Telegram, WhatsApp, Skype or other handles or invites, or outside payment links. To keep everyone safe, IronVault automatically removes contact details from messages in job tickets and records that it did so (it records the kind of thing removed, not the text).
6. No going around IronVault (non-circumvention)
You must not contact an IronVault customer outside IronVault, offer or accept work or payment from them directly, or solicit IronVault customers or jobs for yourself or anyone else — during a job and for 12 months after the last job you did through IronVault for that customer. If a customer contacts you directly, don't continue the conversation: point them back to their IronVault ticket and let IronVault know.
7. Confidentiality
Everything you learn through a job — the brief, the customer's identity and business, their code, servers, credentials, data and files — is confidential. Use it only to do the job, keep it secure, don't share it, and delete or return it when the job ends or when IronVault asks.
8. Intellectual property
On payment of your share, all rights in the work you produce for a job (code, designs, assets and documentation) are assigned to IronVault, or directly to IronVault's customer where IronVault directs. You confirm the work is your own original work or properly licensed, and you will list any third-party or open-source components you used and their licences. You will not reuse a customer's confidential material in other work.
9. Quality and security
Don't include anything malicious, hidden or undisclosed in the work (backdoors, trackers, licence locks, telemetry). Tell IronVault straight away if you find a security problem in a customer's system or in your own work.
10. Your status
You are an independent contractor, not an employee, agent or partner of IronVault. You decide how you do the work, provide your own equipment, and are responsible for your own insurance and expenses.
11. Breaking this agreement
If you break this agreement — in particular sections 4, 5 or 6 — IronVault may take a job off you, remove you from the board, and, where the law allows, withhold amounts not yet paid for the work affected. IronVault will tell you why in writing.
12. Taxes
You are responsible for your own taxes on what you earn. Stripe collects your tax information during payouts setup and, where it applies, issues tax forms (such as a 1099 in the United States) through Stripe Connect. IronVault does not withhold tax from your share unless the law requires it.
13. Governing law
This agreement is governed by the laws of the State of Minnesota, USA, without regard to its conflict-of-law rules. Any dispute that can't be resolved informally will be handled by the state or federal courts located in Hennepin County, Minnesota.
14. Changes
IronVault may update this agreement. The version and the date you accepted are recorded with your account; when a change needs your agreement again, you'll be asked before you can use the board.
